BlumbergExcelsior, Inc. and North Winds, Inc. (''the Companies'') license you (''Licensee'') to complete and print one Severance Agreement at a time. The form may be revised and printed again for the same case without additional charge. You incur no cost until you are ready to print the form. Once you have printed the form, your account is charged and no refunds or adjustments can be made. The program is designed for use by lawyers and human resources professionals who are experienced in preparing common human resources forms and have the requisite knowledge to comply with the governing laws, rules and regulations. If you have difficulty in completing the forms, we suggest that you consult the appropriate statutes and rules. They and numerous treatises by attorneys and other human resources authorities are available in law libraries and bookstores. If you are not an attorney, we recommend that you consult with an attorney. These forms have important legal consequences and should be prepared and executed under the supervision of an attorney. It is the ultimate responsibility of the attorney to determine their legal sufficiency for the use intended, with or without change. Limited Warranty The Companies warrant that you will be able to download the data necessary to print one severance agreement. If you cannot, we will refund your purchase price. Except as described above, the Companies disclaim all warranties, express or implied, concerning the software. LICENSE FEES FOR THE SOFTWARE DO NOT INCLUDE ANY CONSIDERATION FOR ASSUMPTION OF RISK BY COMPANIES, AND THE COMPANIES DISCLAIM ANY AND ALL LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR OPERATION OR INABILITY TO USE THE SOFTWARE, EVEN IF ANY OF THESE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHERMORE, LICENSEE INDEMNIFIES AND AGREES TO HOLD THE COMPANIES HARMLESS FROM SUCH CLAIMS. THE LICENSEE ASSUMES THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE. THE WARRANTIES EXPRESSED IN THIS LICENSE ARE THE ONLY WARRANTIES MADE BY THE COMPANIEES AND ARE IN LIEU OF ALL OTHER WARRANTIES EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE. THIS WARRANTY GIVES YOU SPECIFIED LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS, WHICH VARY FROM JURISDICTION TO JURISDICTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF WARRANTIES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. This License is the complete and exclusive statement of the parties' agreement. Should any provision of this License be held to be invalid by any court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remainder of the License shall nonetheless remain in full force and effect. This License shall be controlled by the laws of the State of New York, and the United States of America.
